Terms of Service

If you signed a separate Cover Page to access the Product with the same account, and that agreement has not ended, the terms below do not apply to you. Instead, your separate Cover Page applies to your use of the Product.

1. Service Access and Use

1.1 License

The services, including all displays, images, video, and audio, as well as the design, selection, and arrangement thereof, are owned and provided by BaseStation.

BaseStation hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, worldwide license to use the services subject to the restrictions in these terms. BaseStation expressly reserves any rights not expressly granted herein. You are solely responsible for any hardware, software, and telecommunications necessary to access the services, and BaseStation makes no warranty or guarantee that the services will always be available or will not change.

1.2 User Accounts

You are responsible for all actions taken through your account and ensuring all users comply with these Terms. You must protect your account passwords and credentials, and notify us promptly at support@hellobasestation.com if you suspect any unauthorized access.

1.3 Use Limitations

Your use of the Product is subject to limitations on:

• Number of guides
• Hours of video uploaded
• Number of teams created

1.4 Usage Data and Feedback

We may collect and analyze data about your use of the Product to improve our services. Any feedback you provide may be used by us without restriction. We will only share usage data in aggregated form that doesn't identify you.

1.5 Content Rights

You retain all rights to your content. You grant us permission to use your content as needed to provide and maintain the Product. You are responsible for ensuring you have the necessary rights to any content you upload.

1.6 AI and Machine Learning

We may use aggregated and de-identified usage data and content to train AI models that are part of our products and services. AI-generated content may not always be accurate and requires human oversight.

2. Restrictions

You agree not to:

• Reverse engineer the Product
• Share or resell access to the Product
• Remove any proprietary notices
• Create derivative works
• Conduct security tests without permission
• Access unauthorized areas of the Product
• Use the Product to develop competing services
• Use the Product for high-risk activities
• Upload content you don't have rights to

3. Payment Terms

3.1 Fees

• Fees are based on your selected product tier and usage
• Pricing is available at https://www.hellobasestation.com/
• We may update pricing with 30 days notice
• Changes apply in the next subscription period
• All fees are in U.S. Dollars and exclusive of taxes

3.2 Billing

• You authorize automatic monthly payments
• We'll charge your payment method on file
• You're responsible for applicable taxes
• Fees are non-refundable except as required by law

4. Term and Termination

4.1 Subscription Period

• Initial term: 1 month
• Automatically renews for additional monthly periods
• Either party can prevent renewal with 30 days notice

4.2 Termination

We may suspend or terminate your access if you:

• Have unpaid fees over 30 days past due
• Violate these Terms
• Use the Product in a way that harms others

4.3 Effect of Termination

Upon termination:

• Your access rights end immediately
• We'll delete your content within 60 days if requested
• You must pay any outstanding fees
• Confidentiality obligations continue

5. Warranties and Disclaimer

5.1 Our Warranties

We warrant that:

• We have the right to provide the Product
• We won't materially reduce functionality during your subscription
• We'll comply with applicable laws

5.2 Disclaimer

THE PRODUCT IS PROVIDED "AS IS." WE DON'T GUARANTEE IT WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS.

6. Limitation of Liability

6.1 Liability Cap

Our maximum liability will not exceed the fees you paid in the 3 months before the claim.

6.2 Exclusions

We're not liable for:

• Lost profits or revenues
• Indirect or consequential damages
• Data loss
• Service interruptions due to factors beyond our control

7. General Terms

7.1 Governing Law

These Terms are governed by Delaware law.

7.2 Disputes

Any legal action must be brought in Delaware state or federal courts.

7.3 Updates

We may update these Terms with notice. Continued use after changes means you accept the new Terms.
